By accessing or using the Loup AI platform ("Loup," "the Service"), operated by Loup AI, you ("you," "the Subscriber") agree to be bound by these Terms. If you do not agree, do not use the Service.
Loup is an AI-powered research analyst platform providing tax code research, client document analysis, regulatory compliance tracking, and plain-English explanations of financial rules. The Service is provided on a subscription basis: Solo CPA ($49/month), Firm ($99/month), and Enterprise ($299/month).
Loup is a research tool, not a financial advisor. The Service:
• Does NOT provide financial, tax, accounting, or legal advice
Does NOT replace the professional judgment of a licensed CPA or attorney
Does NOT guarantee the accuracy, completeness, or timeliness of information
Does NOT constitute a recommendation to take or refrain from any action
All information is for research and informational purposes only. The Subscriber is solely responsible for verifying all information, exercising independent professional judgment, and complying with AICPA Code of Professional Conduct, IRS Circular 230, and state board requirements.
4.1 Professional Obligations: The Subscriber warrants they are a licensed professional or are using the Service under supervision of one. The Subscriber remains solely responsible for all advice and communications to clients.
4.2 Client Data: The Subscriber must obtain consent before uploading client documents, comply with data privacy laws (GDPR, CCPA), and maintain client confidentiality.
4.3 Acceptable Use: The Subscriber agrees NOT to use the Service for fraud or illegal activity, upload unauthorized third-party data, reverse-engineer the platform, or share credentials.
The Service is the intellectual property of Loup AI. Subscribers retain rights to their uploaded documents. Generated research outputs may be used and distributed by the Subscriber as part of their professional services, subject to verification obligations.
Loup uses industry-standard encryption (TLS 1.2+). Client documents are processed in isolated sessions and not permanently stored unless explicitly saved. Chat histories are retained 90 days. Loup does NOT sell or share Subscriber data with third parties.
Subscriptions are billed monthly via Stripe. Automatic renewal unless cancelled. Cancellation within 7 days: full refund. After 7 days: no refund for current period, no further charges. Price changes require 30 days' notice.
The Service is provided "AS IS" without warranties. Loup AI shall not be liable for indirect, consequential, or punitive damages, or for damages arising from reliance on Service-provided information. Total liability shall not exceed the amount paid in the 3 months preceding any claim.
Use of AI tools must comply with AICPA Code of Professional Conduct, AICPA Statements on Standards for Tax Services, and IRS Circular 230. Any tax content is not intended to avoid tax-related penalties. AI-generated content is preliminary research, not a finished professional product — the Subscriber must supervise and review all output.
Subscriber may cancel anytime. Loup AI may terminate for violation of Terms, fraud, or non-payment. Data is deleted within 30-90 days of termination.
These Terms are governed by Delaware law. Disputes resolved through binding arbitration in Wilmington, Delaware.
